What You Will Be Doing
ChargePoint seeks a skilled attorney to join its global Legal Department as its Director, Corporate Securities and Strategic Transactions. This attorney will report directly to the General Counsel with a focus on SEC and public company reporting matters, corporate governance, and corporate subsidiary management. Further, the successful candidate will partner with the Commercial Legal Team to draft and negotiate key partnership, customer and other complex commercial agreements, including supply chain agreements covering component/product supply and contract manufacturing.
This position will work closely with the Company’s finance department and requires a strong corporate, governance, securities and transactional background; an analytical and detail-oriented mindset, coupled with strong communication skills, especially to senior executives and leadership; the ability to spot and analyze legal issues, present positive, creative solutions, and advise management of such risks; and the ability to motivate and work well with the other members of the legal team involved in these subject matter areas, as applicable.
Assist in drafting all securities filings (e.g., 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statement) and securities-related legal documentation while managing outside counsel support, as needed
Responsible for leading the project team for the proxy statement and the annual meeting of stockholders
Participate in Board of Director governance matters, including preparation of presentation materials, drafting Board minutes and resolutions, review and maintenance of corporate policies, assessment and implementation of changes to applicable laws related to the Company’s corporate governance and SEC reporting needs
Securities law administration and compliance (e.g., equity incentive plan matters, securities trading policy administration, transfer agent matters and NYSE requirements)
Review and advise on corporate communications, including press and earnings releases, investor relations presentations, website disclosures, Regulation G, Regulation FD matters
Collaborate closely with executives and business leaders and the Legal Commercial Team to draft and negotiate key partnership, customer, and other complex commercial agreements, including component/product procurement and contract manufacturing as they apply to the vendor landscape and intellectual property licensing
Assist Legal Commercial Team to develop playbooks, templates, and fallback positions that streamline commercial contracting while protecting company interests
Lead merger and acquisition activity, strategic relationships and other corporate transactions, including drafting and negotiating relevant documentation
Actively oversee subsidiary entity and director and officer management, including international and U.S. entity governance and maintenance; assist in the formation and dissolution of entities; prepare and review minutes, resolutions, powers of attorney and corporate organizational documents, including certificates of incorporation and bylaws; manage outside counsel and various agencies and authorities with respect to entity filings, governance and maintenance
Assist on a variety of corporate legal issues, projects and initiatives as needed
What You Will Bring to ChargePoint
Position requires a Juris Doctorate and membership in good standing with a state bar
8+ years of experience in capital markets practice and public companies. Further, experience with M&A, complex commercial transactions and/or customer and vendor supply chain/sourcing transactions is a strong plus
Preferably combined law firm and in-house experience
Deep knowledge of securities law for public companies and familiarity with corporate governance best practices
Ability to thrive in a dynamic, fast-moving environment where the business organization and your role is constantly evolving
Top tier legal judgement and business acumen with the ability to quickly assess risk and prioritize - a desire to drive successful business outcomes
Proficiency with legal platforms such as Workiva, Intelligize, Ironclad, Boardvantage and Section 16.net
High level organizational skills, resourcefulness, flexibility, and adaptability
Ability to understand business needs and partner with internal clients and outside groups to find creative solutions to complex problems
Strong written/oral communication skills, ability to communicate complex legal issues in non-legal language
Enjoy collaborating with no ego in a fast-paced, team-oriented environment
Ability to deliver strong results with limited resources, under tight deadlines

ChargePoint is committed to fair and equitable compensation practices. The targeted US salary range for roles at this operating level is $225,000 to $325,000. This range represents base salary and does not reflect equity, benefits or variable pay where applicable. Actual base salaries are based on several factors unique to each candidate, including but not limited to skill set, experience, certifications and specific work location.
